0Overview & Acceptance

These Terms of Service (“Terms”) govern your access to and use of Entity Client at app.entityclient.com, including related websites, apps, APIs, and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity; “you” and “your” will refer to that entity.

1Definitions

Account: A registered user profile enabling access to the Services.
License: A right to access paid features, subject to plan limits and these Terms.
Content: Any data, text, files, code, media, or materials provided in or through the Services.
UGC: User-generated content you upload, submit, or transmit via the Services.
Third-Party Services: External services integrated with the platform (e.g., OAuth providers, payment processors).

2Eligibility & Account Security

You must be at least 16 years old (or the age of digital consent in your country) to use the Services.
You must provide accurate, current information and promptly update it as needed.
You are responsible for safeguarding credentials and all activity under your Account.
Two-factor authentication may be required for certain actions or risk events.
Linked OAuth accounts (Google, Microsoft, Discord, GitHub, Spotify) are your responsibility.

3Acceptable Use

You agree not to:

Bypass security, probe or scan systems, or access data you are not authorized to access.
Upload malware, attempt DDoS, or interfere with network or platform stability.
Post or transmit illegal, harassing, hateful, or infringing content.
Misuse licenses by sharing, reselling, or renting access without permission.
Automate requests that exceed reasonable rate limits or attempt to scrape without consent.

4Services, Availability & Changes

We may add, modify, or remove features, including Beta features, at any time.
We strive for high uptime but do not guarantee uninterrupted availability.
Planned maintenance may occur; urgent security maintenance may be performed without notice.
We may rate-limit or throttle abusive or unusually heavy usage to preserve stability.

5Licenses, Subscriptions, Pricing & Trials

Paid features require a valid License or subscription associated with your Account.
Prices, plans, and features may change; material changes will be communicated in advance where required by law.
Trials/promotions are time-limited and may be revoked for misuse or ineligibility.
Failed or disputed payments may result in suspension until resolved.

6Payments, Taxes & Refunds

Fees are charged in EUR unless otherwise stated; taxes may apply based on your location.
Refunds are provided only as required by law or if expressly stated in a written offer or policy.
Chargebacks may lead to immediate suspension; we may contest invalid chargebacks.
Cancellation stops future billing at the end of the current term unless stated otherwise.

7User Content, License & Moderation

You retain ownership of your UGC. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create non-human-readable backups solely to operate and improve the Services.
You represent that you have all rights necessary to submit UGC and that UGC does not violate the law or third-party rights.
We may remove or restrict content that violates these Terms or applicable law.

8Platform IP & Feedback

The Services, including software, design, and trademarks, are owned by Entity Client or licensors.
Feedback is voluntary; we may use it without restriction or obligation.

9Privacy, Data Processing & Security

Use of the Services is subject to our Privacy Policy, which explains what we collect and why.
We implement industry-standard technical and organizational measures to protect data.
We may use sub-processors (e.g., hosting, email, analytics, payments) to provide the Services.
Logs may be retained for security, troubleshooting, and compliance.

10Third-Party Services

The Services integrate with third-party providers (e.g., OAuth, payment processors). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for their acts, omissions, or availability.

11Compliance & Export

You must comply with applicable laws, including data, consumer, and IP laws.
You represent that you are not prohibited from receiving the Services under applicable export or sanctions laws.

12Suspension & Termination

We may suspend or terminate your Account immediately for material breach, legal risk, fraud, or security threats.
Upon termination, your right to use the Services ceases; sections that by nature should survive will continue to apply.

13Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14Limitation of Liability

To the maximum extent permitted by law, Entity Client is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or business opportunities. Our aggregate liability for all claims relating to the Services is limited to the amounts you paid to us in the 12 months before the event giving rise to the liability.

15Indemnification

You agree to defend, indemnify, and hold harmless Entity Client and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your UGC, or your violation of these Terms.

16Miscellaneous

Governing Law & Venue: These Terms are governed by the laws of Malta. Courts of Malta have exclusive jurisdiction.
Changes to Terms: We may revise these Terms; the latest version will be posted here, with notice where required by law.
Assignment: You may not assign these Terms without our prior written consent.
No Waiver: Failure to enforce a provision is not a waiver of the right to do so later.
Severability: If any provision is unenforceable, the remaining provisions will remain in full force.
Entire Agreement: These Terms constitute the entire agreement between you and Entity Client regarding the Services.
Notices: We may notify you via email, in-app messages, or by posting to the site.
